Current Report No. 23/2026 dated 20 July 2026

Content of Report:

The Management Board of Wirtualna Polska Holding S.A. (the "Issuer") hereby announces that, in the financial results for the second quarter of 2026, its subsidiary, Wirtualna Polska Media S.A. (the "Company"), recognized additional income in the total estimated amount of PLN 66.8 million in connection with the correction of corporate income tax ("CIT") overpayments for the years 2020-2024. The additional income results from the identification, within the Company's operations, of activities involving the creation and development of intellectual property rights - in particular, proprietary IT systems used in the provision of the Company's online services - that qualify for preferential taxation under the IP Box relief.

In March and June 2026, the Company filed corrected CIT returns for the years 2020-2021 and 2022-2023, respectively, in which it reported income derived from qualifying intellectual property rights. At the same time, the Company commenced the preparation of a corresponding correction for 2024. At the time the corrected returns were filed, the tax receivable relating to the years 2021-2022 was subject to a full impairment allowance, reflecting the verification proceedings then in progress. Following the completion of the verification proceedings relating to the first correction, in July 2026 the Company received a tax refund of PLN 21.2 million for the years 2020-2021. In the Company's assessment, the receipt of the refund confirms the recoverability of the relevant income tax receivable as at 30 June 2026. Accordingly, the Company reversed the impairment allowance previously recognized in respect of that receivable.

Following the favourable outcome of the proceedings concerning the application of the IP Box relief for 2021, the Management Board reassessed the likelihood of obtaining corresponding tax refunds for the years 2022-2024. Based on the outcome of the completed proceedings and the other evidence available, the Management Board concluded that sufficient grounds existed to recognize, in the second quarter of 2026, an additional asset and corresponding income of PLN 45.6 million, notwithstanding that the related cash proceeds had not yet been received.

The application of the above tax relief reflects the WP Group's continued strategy of investing in Poland in the development of proprietary technologies and IT solutions that constitute qualifying intellectual property rights within the meaning of the IP Box regulations.
