The final costs of the public offering of ordinary bearer B series shares and ordinary bearer E series shares– supplement to the current report No 4/2015 dated May 5th, 2015
Legal basis: Article 56 sec. 1 item 2 (a) of the Act dated 29 July 2005 on Public Offering, the Conditions Governing the
Introduction of Financial Instruments to Organised Trading, and Public Companies.
Contents of the report:
The management board of Wirtualna Polska Holding S.A. (the “Company) in addition to the content of the current report No 4/2015 dated May 5th, 2015 hereby announces the final costs of the initial public offering of ordinary bearer B series shares and ordinary bearer E series shares
12) Total amount of costs that were included in the costs of emissions, with the amount of costs by:
Total costs of public offering of 9.192.378 shares, including 5.852.634 ordinary bearer B series shares and 3.339.744 ordinary bearer E series shares, incurred by the Company amounted to PLN 8.315 thousand, of which:
· The cost of the preparation and conduct of the offer: PLN 3.454 thousand;
· The cost of remuneration of underwriters: not applicable;
· The cost of preparation of the prospectus, including advisory fees: PLN 3.393 thousand;
· The cost of Promotion of the offer: PLN 1.027 thousand;
· Other costs: PLN 441 thousand.
Aforementioned costs in the amount of PLN 3.396 thousand are recognized in Issuer’s profit and loss account and included in the financial statement under operating expenses, out of which PLN 3.256 thousand was recognized in 2015 financial statement and the remaining part was recognized inthe cost of the previous year. The remaining costs in the amount of PLN 4.917 thousand are recognized in the supplementary capital as a correction of the excess of the issue price over nominal value of issued shares.
13) The average cost of subscription or sales per unit of securities subscription or sale:
Average cost of sale per unit of the security to be sold was: 0,90 PLN.
Legal basis: Article 56 sec. 1 item 2 (a) of the Act dated 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies in conjunction with § 33 sec. 1 of the Regulation issued by the Council of Ministers on 19 February 2009 on the Current and Periodic Information Transmitted by Securities Issuers and the Conditions for Recognizing the Information Required by the Regulations of a Non-Member State as Equivalent (Journal of Laws, 2014, item 133 as amended).
