Selection of a certified auditor for audit or review of a financial statement of Wirtualna Polska Holding S.A.

*Legal basis: *Article 56 sec. 1 item 2 (a) of the Act dated 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies.

Contents of the report:

The Management Board of Wirtualna Polska Holding S.A. (“Company”) hereby announces that on February 15, 2016 Supervisory Board of the Company, acting in accordance with applicable regulations and professional standards, and having regard to the recommendation of the Audit Committee, in resolution No. 6/2016 had selected PricewaterhouseCoopers sp. z o.o. with its registered seat in Warsaw (00-683 Warsaw, Aleja Armii Ludowej 14) (“PWC”) as a certified auditor for audit or review of a financial statement and consolidated financial statements of Company for 2016-2018. PWC is entered in the list of entities authorized to audit financial statements, kept by the National Council of Statutory Auditors under the number 144.
PWC had audited the financial statement and consolidated financial statements for the financial year ended December 31, 2014 and is an entity authorized to audit the financial statement and consolidated financial statements for the financial year ended December 31, 2015. Moreover, in 2015 PWC has conducted a review of the semi-annual financial statement and semi-annual consolidated financial statement for the six months ended June 30, 2015.

Moreover, in the mentioned period, Company used the services PWC of consulting and certifying, especially to the extent necessary to publish the Prospectus of the Company.

The agreement with PWC is concluded for the time necessary for the execution of the agreement, i.e. for a period of three years.

Legal basis: Article 56 sec. 1 item 2 of the Act dated 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies in conjunction with § 5 sec. 1 item 19 of the Regulation issued by the Council of Ministers on 19 February 2009 on the Current and Periodic Information Transmitted by Securities Issuers and the Conditions for Recognizing the Information Required by the Regulations of a Non-Member State as Equivalent
