Conditional admission of series B, C and E shares and rights to ordinary bearer series E shares to exchange trading on the main market of Warsaw Stock Exchanege

Legal basis: Article 56 sec. 1 item 2 (a) of the Act dated 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies.

Contents of the report:

The Management Board of Wirtualna Polska Holding S.A. (the “Company”) hereby announces that today, i.e. 5 May 2015, the Company received from the Warsaw Stock Exchange (the “WSE”) resolution No. 418/2015 adopted by the Management Board of the WSE on 5 May 2015, in which the Management Board of the WSE resolved to admit to exchange trading on the main market:
1) the following shares in the Company with a nominal value of PLN 0.05 (five groszy) each:
a) 12,221,811 (twelve million, two hundred and twenty-one thousand, eight hundred and eleven) series B shares, on the condition that they are converted from registered shares into ordinary bearer shares,
b) 301,518 (three hundred and one thousand, five hundred and eighteen) ordinary series C bearer shares,
c) 3,339,744 (three million, three hundred and thirty-nine thousand, seven hundred and forty-four) ordinary series E bearer shares; and
2) 3,339,744 (three million, three hundred and thirty-nine thousand, seven hundred and forty-four) rights to ordinary series E bearer shares in the Company with a nominal value of PLN 0.05 (five groszy) each.
The admission of the shares referred to in section 1) subsection c) above to exchange trading is conditional on the registration of the increase of the Company’s share capital as a result of the issue of the series E shares.
Legal basis: Article 56 sec. 1 item 2 (a) of the Act dated 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies (i.e. Journal of Laws of 2013, item 1382) in connection with § 34 section 1 subsection 2) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information provided by issuers of securities, and the conditions for recognising as equivalent information required by the laws of a non-member state (i.e. Journal of Laws of 2014, item 133).
