Decision of the President of the Office of Competition and Consumer Protection granting consent for the concentration with regard to the sale and purchase of 100% of shares in Invia Group SE

Content of the report:

Management Board of Wirtualna Polska Holding S.A. ("Issuer", "WPH", "Company") in relation to the current report no. 23/2024 of 23 December 2024, hereby announces that it has been informed of the fulfilment of one of conditions precedent of the transaction of acquisition of 100% shares in Invia Group SE ("Invia") by Wirtualna Polska Media S.A., a subsidiary of the Issuer, ("Transaction") in the form of the decision of the President of the Office of Competition and Consumer Protection dated on 31 March 2025 granting unconditional consent for the acquisition of control over Invia.

The Issuer will inform about the fulfilment of the other condition precedent of the Transaction, that is granting the consent of the Shanghai United Assets and Equity Exchange, approving the purchaser of Invia shares under the procedure for the sale of assets of the People's Republic of China and subsequently about the closing of the Transaction In separate reports.
