Conclusion of acquisition of shares in Selsey sp. z o.o. and disposal of shares in Homebook sp. z o.o.

Content of the report:

Management Board of Wirtualna Polska Holding S.A. ("Issuer" or "WPH") informs that in connection with the fulfillment of the conditions precedent, about which the Issuer informed in the current report No. 18/2022 of September 17, 2022, Wirtualna Polska Media S.A. with its registered office in Warsaw (hereinafter referred to as "WPM") - the Issuer's subsidiary – finalized the closing activities of transaction for the purchase of shares in Selsey sp. z o.o. with its registered office in Wrocław ("Selsey"), ("Shares"), ("Transaction").

As part of the Transaction, WPM:

1.      concluded a share purchase agreement, in which it undertook to acquire 51 Selsey shares representing 12.8% of Selsey's share capital in exchange for the payment of the price of PLN 6.0 million;

2.     acquired 229 shares in the increased share capital of Selsey in no a cash contribution of PLN 14.9 million and a non-cash contribution of 100% of shares in the company Homebook Sp. z o.o. based in Wrocław ("Homebook") with a value of PLN 12.0 million;

3.      concluded a shareholder agreement between WPM, Mr. Mirosław Mikołajczak ("MM") and Selsey regulating the corporate governance and mutual relations, obligations and rights of Selsey shareholders.

After the Transaction, WPM holds approximately 44.5% of Shares in the share capital of Selsey which represents approximately 44.5% of votes at the General Meeting of Shareholders of Selsey.

The total value of the Transaction amounted to PLN 32.9 million.

Article 17 sec. 1 of European Parliament and Council Regulation No 596/2014 of 16 April 2014 on market abuse (Market Abuse Regulation) and repealing Directive 2003/6 / EC of the European Parliament and of the Council and Commission Directive 2003/124 / EC, 2003/125 / EC and 2004/72 / EC
