The transformation of a subsidiary of Wirtualna Polska Holding S.A. into a joint-stock company
Legal basis: Article 56 sec. 1 item 2 of the Act dated 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies.

The Management Board of Wirtualna Polska Holding S.A. (“the Company”) hereby announces that on October 13th, 2015, the Management Board was informed that on October 13th, 2015 the District Court for the capital city of Warsaw, XIII Commercial Department of the National Court Register registered the transformation of a subsidiary of the Company, Grupa Wirtualna Polska spółka z ograniczoną odpowiedzialnością with its registered seat in Warsaw into a joint-stock company, under the name Grupa Wirtualna Polska Spółka Akcyjna, registration number 0000580004 (“the Transformed Company”). The transformation was made pursuant to article 551 et seq. of the Polish Commercial Companies Code.
The Company owns all shares in the Transformed Company as the sole shareholder. The share capital of the Transformed Company in the amount of PLN 317.957.800 (in words: three hundred and seventeen million nine hundred fifty seven thousand and eight hundred) was fully covered by contributions previously paid to the Transformed Company.
