Significant block of shares/ change in share ownership
Legal basis: Article 70 sec.1 of the Act dated 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies.

The Management Board of Wirtualna Polska Holding S.A. ("Company") hereby announces that on January 5th, 2023 the Management Board obtained a notification, according to which Powszechne Towarzystwo Emerytalne Allianz Polska S.A. managing Allianz Polska Otwarty Fundusz Emerytalny ("Allianz OFE"), managing Allianz Polska Dobrowolny Fundusz Emerytalny ("Allianz DFE") informs that as a result of the merger pursuant to Art. 67 of the Act of August 28, 1997 on the organization and operation of pension funds (i.e. Journal of Laws of 2020, item 105, as amended; "Act on Pension Funds") and art. 492 § 1 point 1 of the Commercial Companies Code, on December 30, 2022, with Aviva Powszechne Towarzystwo Emerytalne Aviva Santander Spółka Akcyjna managing the Second Allianz Polska Otwarty Fundusz Emerytalny ("Drugi Allianz OFE"), the share in the share capital and the total number of votes of the Company on the accounts of Allianz OFE, Allianz DFE and Drugi Allianz OFE increased above 5% .
Before merger:
In total, the accounts of Allianz OFE and Allianz DFE held 877,033 shares, constituting 2.99% of the Company's share capital, which gave the right to exercise 877,033 votes from shares constituting 2.16% of the total number of votes at the Company's General Meeting. On the account of the Second Allianz OFE, 2,799,520 shares were registered, constituting 9.56% of the Company's share capital, which gave the right to exercise 2,799,520 votes from shares constituting 6.90% of the total number of votes at the Company's General Meeting.
After merger:
In total, the balance on the accounts of Allianz OFE, Allianz DFE and Drugi Allianz OFE increased to 3,676,553 shares, representing 12.55% of the share capital of the Company, which gives the right to exercise 3,676,553 votes from shares representing 9.06% of the total number of votes at the General Meeting of the Company.
At the same time, Powszechne Towarzystwo Emerytalne Allianz Polska S.A., jointly managing Allianz OFE, Allianz DFE and Drugi Allianz OFE, informs that:
· It has no subsidiaries holding shares in the Company,
· the situation described in Art. 69 sec. 4 point 6 of the above-mentioned Act does not occur,
· it also does not have financial instruments referred to in Art. 69b sec. 1 point 1) and 2) of the above-mentioned Act.
