The Management Board of Wirtualna Polska Holding S.A. with its registered office in Warsaw (the "Company") hereby provides attached the position of the Management Board of the Company prepared under Article 80 of the Act of July 29, 2005 on public offering and conditions for introducing financial instruments to organized trading and on public companies (the "Act on Public Offering"), concerning the voluntary tender offer to subscribe for the sale of all remaining shares in the Company, announced on April 28, 2026 under Article 72a section 1 of the Act on Public Offering jointly by: (i) the Company, (ii) Orfe S.A. with its registered office in Warsaw, (iii) 10X S.A. with its registered office in Warsaw, (iv) Albemuth Inwestycje S.A. with its registered office in Warsaw, (v) Jacek Świderski, (vi) Michał Wiktor Brański and (vii) Krzysztof Daniel Sierota, being parties to the agreement referred to in Article 87 section 1 item 5 of the Act on Public Offering (the "Tender Offer").
Before issuing its position, the Company's Management Board obtained an opinion referred to in Article 80 section 3 of the Act on Public Offering on the financial terms of the Tender Offer, prepared by KPMG Advisory spółka z ograniczoną odpowiedzialnością sp.k.
The position of the Company’s Management Board regarding the Tender Offer and the opinion on the financial terms of the Tender Offer prepared by KPMG Advisory spółka z ograniczoną odpowiedzialnością sp.k. constitute appendices to this current report.
