Conditional registration of series E shares in Wirtualna Polska Holding S.A. by Krajowy Depozyt Papierów Wartościowych S.A. (the National Depository for Securities)

The Management Board of Wirtualna Polska Holding S.A. (the “Company”) hereby announces that today, i.e. on 20 May 2015, the Company received from Krajowy Depozyt Papierów Wartościowych S.A. (the “KDPW”) resolution No. 318/15 of the management board of the KDPW dated 20 May 2015, in which the management board of the KDPW resolves to register, in the securities deposit, 3,339,744 (three million, three hundred and thirty-nine thousand, seven hundred and forty-four) ordinary series E bearer shares in the Company with a nominal value of PLN 0.05 (five groszy) each, issued based on Resolution No. 7 of the Extraordinary General Meeting held on 14 January 2015, and assign code PLWRTPL00027 to such shares on the condition that the company operating the regulated exchange market adopts a decision on the introduction of such shares to trading on the same regulated market on which other shares in the Company marked with code PLWRTPL00027 are currently traded. The registration of the abovementioned series E shares in the Company in KDPW will occur in connection with the closure of the accounts maintained for rights to shares marked with code PLWRTPL00043, within three days of the date on which the KDPW receives the decision referred to in the preceding sentence, however, not earlier than on the date, as stated in such decision, on which the said shares are introduced to trading on such market. Information of the registration of series E shares in the Company under code PLWRTPL00027 will be published in the form of an announcement of the KDPW.
Legal basis: Article 56 sec. 1 item 2 (a) of the Act dated 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies (i.e. Journal of Laws of 2013, item 1382) in connection with § 34 section 1 subsection 1) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information provided by issuers of securities, and the conditions for recognising as equivalent information required by the laws of a non-member state (i.e. Journal of Laws of 2014, item 133).
