Shareholder's request to convene the Extraordinary General Meeting of Shareholders and draft resolution

Legal basis: Article 56, section 1.2a of the act dated 29 July 2005 on public offering, the conditions governing the introduction of financial instruments to organised trading, and public companies, as amended.

Contents of the report:

The Management Board of Wirtualna Polska Holding S.A. with its registered office in Warsaw (the "Company") informs that today, i.e. on October 13, 2023, it received a request from a shareholder Orfe S.A. with its registered office in Warsaw (hereinafter: "Orfe"), representing at least 1/20 (one twentieth) of the Company's share capital, pursuant to art. 400 § 1 of the Code of Commercial Companies, to convene the Extraordinary General Meeting of Shareholders of the Company and to place on the agenda of the abovementioned General Meeting of Shareholders a point regarding the changes to the Company's Supervisory Board along with a draft o a resolution for appointment of a member of the Supervisory Board.

At the same time, Orfe proposes to appoint Mrs. Joanna Różycka-Iwan as an independent Member of the Company's Supervisory Board. Below we provide the information on the candidate received by the Company.

Joanna Różycka-Iwan – Chief Investment Officer, Media Development Investment Fund

Joanna has more than 15 years’ experience in investment, consulting and financial management. Since joining Media Development Investment Fund in 2012, Joanna has managed a portfolio of debt and equity impact investments across Central and Southeast Europe and Asia, notably executing several major media deals in Europe in recent years. She is a member of several investee Supervisory Boards, specialising in shaping strategic priorities, performance monitoring and financial management. Currently she holds a position of Chief Investment Officer of MDIF managing MDIF global investment portfolio.

Prior to joining MDIF, Joanna advised companies for Deloitte and Crido Taxand, obtaining more than EUR 150 million financing for projects in different sectors (environmental protection, intermodal transport, renewable energy, innovation, trainings, SSC, R&D).

Joanna has been a member of ACCA since 2014 and FCCA since 2019, and is a Leadership Academy for Poland 2021 alumna. Based in Warsaw, she holds an MA in corporate finance from SGH Warsaw School of Economics and an MA in international relations from Warsaw University.

Legal basis: Article 56, section 1.2a) of the act dated 29 July 2005 on public offering, the conditions governing the introduction of financial instruments to organised trading, and public companies in connection with § 5 Items 4 of the Regulation issued by the Finance Minister on 29 March 2018 on the current and periodic information transmitted by securities issuers and the conditions for recognizing the information required by the regulations of a non-member state as equivalent.
