Appointment of a member of the Supervisory Board of the Company
Legal basis: Article 56 sec. 1 item 2 of the Act dated 29 July 2005 on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies.
Content of Report:
Management Board of Wirtualna Polska Holding S.A. with its registered office in Warsaw (the "Company") announces that on November 8, 2023, the Extraordinary General Meeting of the Company adopted a resolution to appoint Mrs Joanna Różycka-Iwan as a Member of the Supervisory Board of the Company meeting the criteria of independence from the Company and entities in significant relationship with the Company.
These appointment is related to a submission of application by shareholder of the Company – Orfe S.A. which was reported by the Company in current report no. 23/2023 dated October 13, 2023.
The content of the resolution referred to above, the Company provided in attachment to the current report no. 26/2023 dated November 8, 2023.
Below we provide the information on the candidate received by the Company.
Joanna Różycka-Iwan – Chief Investment Officer, Media Development Investment Fund
Joanna has more than 15 years’ experience in investment, consulting and financial management. Since joining Media Development Investment Fund in 2012, Joanna has managed a portfolio of debt and equity impact investments across Central and Southeast Europe and Asia, notably executing several major media deals in Europe in recent years. She is a member of several investee Supervisory Boards, specialising in shaping strategic priorities, performance monitoring and financial management. Currently she holds a position of Chief Investment Officer of MDIF managing MDIF global investment portfolio.
Prior to joining MDIF, Joanna advised companies for Deloitte and Crido Taxand, obtaining more than EUR 150 million financing for projects in different sectors (environmental protection, intermodal transport, renewable energy, innovation, trainings, SSC, R&D).
Joanna has been a member of ACCA since 2014 and FCCA since 2019, and is a Leadership Academy for Poland 2021 alumna. Based in Warsaw, she holds an MA in corporate finance from SGH Warsaw School of Economics and an MA in international relations from Warsaw University.
The Management Board of the Company hereby informs that Mrs Joanna Różycka-Iwan has agreed to stand as a candidate and made a statement to the Company that no legal obstacle is known to her regarding her candidacy for the post of a member of the supervisory board.
Member of the Supervisory Board – Mrs Joanna Różycka-Iwan meets the criteria of independence from the Company and entities in significant relationship with the Company, does not conduct any business competitive to that of the Company as the issuer apart from being a member of the supervisory board of Gremi Media S.A. and Eurozet Sp. z o.o., she is not involved in a competitive business as a shareholder or partner in a civil law company or partnership or member of a corporate body of a competitive corporation or legal person and is not entered in the Register of Insolvent Debtors kept pursuant to the provisions of the National Court Register Act of 20 August 1997.
