Content of the report:
The Management Board of Wirtualna Polska Holding S.A. ("The Company" or "WPH") hereby informs that on September 24, 2021 it has been notified that Wirtualna Polska Media Spółka Akcyjna with its registered office in Warsaw ("WPM") - a subsidiary of WPH – had received from Mr. Kamil Ruciński ("KR") Notifications of Acceptance of the Share Buy Offer at Nocowanie.pl a limited liability company with its registered office in Lublin (" Nocowanie.pl "), pursuant to which, in order to exercise the Put Option, in accordance with the agreement of December 22, 2020 concluded between WPM, KR and Nocowanie.pl (“Agreement”), KR accepted an irrevocable purchase offer (submitted by WPM pursuant to Article 68 of the Civil Code) and sold to WPM 2,506 (say: two thousands five hundred six) shares in Nocowanie.pl constituting 6.25% the share capital of Nocowanie.pl and entitling it to 6.25 % of votes at general meeting of Nocowanie.pl ("Shares") ("Transaction").
The sale price for all acquired Shares under the Transaction is PLN 4,264,633.
As a result of the exercise of the last Put Option under the Agreement, WPM will own a total of 100 % of the shares in Nocowanie.pl entitling to exercise 100 % of the votes at the Nocowanie.pl shareholders' meeting.
